LEGAL ASSOCIATE (M/F)THE JOB :
-Advise and support the coverage of Luxembourg based businesses on applicable laws and regulations, including the provision of impact analyses, and the development of responses to, and implementation of, new regulations.
-Advise on the application of rules and policies to specific business activities based on a deep understanding of business strategies and product portfolios and supporting all areas of the business with legal queries.
-Contribute to the operation of select controls e.g., participating in New Product Approval process by reviewing new business initiatives for consistency with regulatory requirements.
-Advises the management of the company in Luxembourg as well as the management of the branch in Paris and supports its business teams on a vast range of legal, regulatory, contractual, and corporate matters.
-Also assumes key responsibilities in the setting up of new investment funds and maintenance of existing structures. As such also in charge of drafting and negotiation of fund documentation, agreements, side letters etc.
-Provide company/corporate secretarial services and oversee the administrative side of such. With a willingness to undertake and innovate administrative roles that underpin the Legal Departments proficiency, including file management, uploading to Sharepoint, Invoice tracking and processing and Board portal usage.
-Drafting Board bundles and resolutions.
-Manage the legal contract process from end-to-end, providing support and advice to the HoL in the negotiation and execution of contracts.
-Assist with fund structuring, launches and managing the closings, as well as all client and third-party communications related to such.
-Assist with the general legal, commercial, and regulatory compliance matters as well as ensuring administration and commercial accuracy of all contracts.
-Template drafting (checklists, NDAs, disclaimers, basic contracts).
-Uploading and tracking legal documents using legal technology.
-Legal billing and budget tracking.
-Legal research and keeping on top of relevant available resources.
-Company/Corporate Secretarial experience and willingness to undertake certain Co Sec duties.
-Have the enthusiasm to develop professional working relationships throughout the business.THE CANDIDATE PROFILE:
-University degree in Law or similar professional qualification.
-Highly motivated self-starter with the ability to work independently and min. 3-5 years previous experience in a similar position.
-Strong interpersonal skills.
-Commercial/Service Provider Contracts experience, both drafting and negotiating is required, alongside Non-Disclosure Agreements.
-Comprehensive knowledge about the Luxembourg framework and requirements for an AIFM incl. knowledge of European financial services regulation, including but not limited to AML, GDPR, MAR, MiFID II, EMIR.
-Funds experience exposure is preferred such as Limited Partnerships, Open-Ended Structures, Closed-Ended Structures, Collateral Loan Obligation Vehicles, LLPs.
-Company/Corporate Secretarial experience and willingness to undertake certain Co Sec duties.
-Experience of working in a complex shareholder set-up with diversified business departments and be able to demonstrate success in building excellent rapport with both internal and external stakeholders.
-Excellent accuracy, attention to detail and strong proof-reading skills are essential for the role and they will have the ability to exercise practical judgment and work to tight deadlines.
-Strong computer skills and experience in using MS Office tools (Word, Excel, Outlook, Sharepoint) is essential.
