- Coordinate client onboarding processes, including incorporations, service agreements, service level agreements and AML compliance.
- Oversee transactions, including investments and divestments, ensuring thorough review of all relevant documents.
- Maintain and ensure proper update of statutory registers (directors, limited partners, shareholders).
- Review board packs, coordinate/lead board and shareholder/investor meetings, and ensure accurate minute-taking.
- Ensure high governance standards by adhering to company policies, local law and regulatory frameworks.
- Manage and develop legal document templates (e.g., minutes, resolutions, loan agreements, powers of attorney).
- Act as a key point of contact for clients, ensuring timely and professional service delivery.
- Attend board, client regular calls and investor meetings, ensuring proper documentation and governance standards are met.
- Proactively build strong relationships with fund managers, legal advisors, investors, notaries, and other stakeholders.
- Provide proactive problem-solving and strategic insights based on technical expertise.
- Train and coach team members, acting as the first point of contact for core deliverables and escalate issues to management as required.
- Delegate tasks, set clear requirements, and ensure timely completion.
- Review and validate all submitted work before sending it to clients.
- Provide support to other team members on complex transactions.
- Excellent knowledge of Luxembourg corporate law and its application to funds and other structures.
- Familiarity with fund structures (e.g., SCSps managed by full-scope AIFMs, LPAs).
- Understanding of AIFMD and its implications in fund structures.
- Knowledge of AML/KYC compliance and regulatory requirements in Luxembourg.
- Strong leadership and delegation skills to effectively manage a team and oversee tasks.
- Proactive problem-solving abilities, applying technical expertise and confident judgment to resolve challenges.
- Ability to work in a fast-paced and deadline-driven environment while maintaining accuracy and attention to detail.
- Master's or Bachelor's degree in Law, Corporate Law, Business Law, Commercial Law, or a related field is required.
- Minimum 3 years of experience in a similar role in Luxembourg.
- Additional certifications related to AML/KYC compliance, Luxembourg corporate law, or fund administration would be an asset.
- Fluent in English; proficiency in French or German is a strong asset.
