We are seeking an experienced Corporate Secretary to join an international investment funds structure (Private Equity and Private Credit) for a 12-month assignment based in Luxembourg.In this role, you will manage the full corporate administration of a portfolio of entities, collaborating closely with internal teams (legal, tax, investment, finance) and external stakeholders.
You will ensure governance standards are maintained at the highest level, support transactions, and oversee the full lifecycle of entities from incorporation to liquidation.Key ResponsibilitiesLead corporate governance processes in line with internal policies and regulatory requirements.Organise, convene, and attend board and shareholder meetings, preparing agendas and minutes.Support transactions by reviewing and preparing standard corporate/legal documentation.Manage incorporations, liquidations, and corporate changes for Luxembourg entities.Maintain accurate and up-to-date corporate records and statutory registers.Handle compliance requests from local and international stakeholders.Build strong relationships with both internal teams and external advisers.Profile SoughtDegree in Law, Business, or related field; company secretarial qualification is an asset.4–8 years’ experience in corporate governance or entity management, ideally within investment funds, fiduciary services, or trust companies in Luxembourg.Strong knowledge of Luxembourg company law and regulatory environment.Comfortable working across borders with international teams.Excellent communication skills, strong attention to detail, and a proactive mindset.Fluent in English; other languages are a plus.Feel free to apply.
