The Legal and Corporate Affairs department provides legal support on a wide range of subjects (from the structuring of investment schemes, to the definition of the contractual framework) interacting with the relevant internal functions on an ongoing basis. The team is also in constant contact with the corresponding functions of the other entities belonging to the Generali Group.The team is currently composed of four legal advisers, with a different level of expertise in investment funds area (both UCITS and AIFs) and in corporate topics and operates under the responsibility of the General Counsel, acting ad interim as Head of Legal and Corporate Affairs.Main tasks:
  • Lead the legal and corporate affairs function under the coordination of the General Counsel, ensuring full compliance with CSSF regulations and EU directives (e.g., UCITS, AIFMD, SFDR)
  • Provide legal advice to the relevant functions on fund structuring, cross-border distribution, and regulatory developments
  • Draft, review, and negotiate fund documentation, management agreements, distribution agreements, and service provider contracts
  • Oversee corporate governance matters, including board and shareholder meetings, minutes, and regulatory filings with the RCS and CSSF, both for the Company and the Funds
  • Liaise with external legal advisors, regulatory authorities, and industry bodies on legal and compliance matters
  • Support the launch of new funds and sub-funds, including coordination of legal documentation and regulatory approvals
  • Monitor legal and regulatory developments at the Luxembourg, EU, and international levels, assessing their impact on the funds’ documentation
  • Stay abreast of industry developments, and best practices in investment fund law and regulatory compliance
  • Collaborate effectively with internal and external stakeholders, including external lawyers, service providers, distributors, investment managers, etc..
  • Engage in local and global group projects

  • Master’s degree in Law; admission to the Luxembourg Bar or another EU jurisdiction is a strong asset
  • 10+ years of legal experience, with a significant portion in the asset management or financial services industry
  • In-depth knowledge of Luxembourg fund structures (UCITS, SIFs, RAIFs, SICAVs) and regulatory frameworks (CSSF, AIFMD, UCITS Directive)
  • In-depth knowledge of corporate governance matters, including board meetings and stakeholder relations
  • Proven track record in structuring and launching investment funds across various asset classes and investment strategies
  • Experience working within or advising a Luxembourg management company or fund administrator
  • Fluent in English; French and/or Italian are considered strong assets
