- Provide legal advice on the structuring, launch, and lifecycle management of AIFs and UCITS
- Draft and review fund documentation (e.g., offering memoranda, prospectuses, service agreements)
- Draft and negotiate agreements with funds’ service providers (e.g., depositaries, administrators, investment managers, distributors, etc.)
- Draft and negotiate corporate agreements and support general legal matters of the Company
- Collaborate with internal stakeholders (Product, Operations, BRM, etc. ), as well as with stakeholders at Group level, on fund-related initiatives and on the ones concerning the Company
- Monitor and interpret regulatory developments (e.g., AIFMD II, ELTIF 2.0, SFDR, CSSF circulars) regarding the funds and the Company and advise about their interpretation
- Define the scope of work and manage RFP processes for the selection of external legal advisers
- Liaise, acting as the main point of contact, with external counsel and regulatory authorities (CSSF) as required
- Contribute to internal legal knowledge sharing
- Support corporate governance and board-related legal matters for both Fund entities and the Company
- Master’s degree in Law
- Minimum of 7 years’ experience in investment funds and related areas of law, with a focus on Alternative Investment Funds (AIFs)
- In‑depth knowledge of the Luxembourg and European legal and regulatory environment applicable to Luxembourg management companies/AIFMs and related fund structures
- Knowledge of corporate governance matters, including board meetings and stakeholder relations
- Proven track record in structuring and launching investment funds across various asset classes and investment strategies
- Deep understanding of fund formation, regulatory compliance, and governance matters impacting investment funds
- Strong drafting, negotiation, and analytical skills, with meticulous attention to details
- Experience in negotiating agreements with fund service providers (e.g., depositaries, administrators, investment managers, distributors)
- Experience in handling regulatory interactions with the CSSF (e.g., filings, queries, approvals)
- Excellent communication and interpersonal skills, with the ability to effectively interact with clients and internal stakeholders, Group counterparts, external counsel and regulatory Authorities
- Strong organizational skills, with the ability to manage multiple priorities and deliver high‑quality work within tight deadlines in a fast‑paced environment
- Commitment to upholding the highest standards of ethics, professionalism, and client service
- Strong problem‑solving mindset, with the ability to assess legal risks and propose pragmatic, business‑oriented solution

- Excellent communication skills, both verbal and written in English; Italian, German or French would be considered as a plus
