
Corporate Legal Officer

- Assist with organization of meetings of the Board of Directors, committees, and shareholders of the Group companies, including, preparing board packs, sending out convocation notices, and arranging logistics;
- Prepare and file statutory documents and regulatory filings with Luxembourg authorities, including submission of changes to the Registre de Commerce et des Sociétés (RCS) and Registre des bénéficiaires effectifs (RBE), and keep abreast of changes into regulations related thereto;
- Draft, review, and coordinate execution of corporate housekeeping documents. This includes preparing powers of attorney and official forms, as well as assisting with the drafting and proofreading of corporate documents and legal correspondence;
- Maintain a register of, and track, key dates (statutory registration deadlines, PoA renewals, expirations of mandates, etc.);
- Arrange storage of all corporate documents (minutes, resolutions, certificates, licenses, etc.) and maintain organized corporate records and legal archives (both electronic and hard copy) ensuring their availability for audits and/or due diligence;
- Work with notaries, support the incorporation of new entities, share transfers, capital increases, etc.; and
- Perform other duties consistent with the role.
- Bachelor’s degree in law or related field, a specialized paralegal certification or equivalent training in corporate law would be an asset;
- 2–3 years as a paralegal, legal assistant, or legal counsel for corporate affairs in a law firm, fiduciary firm, or in-house legal department in Luxembourg. Experience with corporate governance, board support, and legal filings in Luxembourg is required;
- Solid understanding of Luxembourg company law and corporate governance principles. Familiarity with the Luxembourg 1915 Law on Commercial Companies and experience with corporate regulatory filings. Knowledge of Luxembourg compliance requirements (e.g. RCS filing procedures, beneficial ownership declarations). General knowledge of the Luxembourg legal system and civil law;
- Fluency in English and French (professional working proficiency, both oral and written).
- Strong time-management skills, attention to detail, integrity, discretion, and a team-oriented attitude. You are well organized, proactive, eager to learn, capable of handling multiple tasks and deadlines simultaneously and of working independently to see tasks through to completion.
