- Your main responsibilities will be:
- Legal Advice:
- Provide legal advice on the company's activities, particularly in corporate law, investment fund law, and financial law.
- Ensure the company's activities comply with local and European regulations (CSSF, AIFMD, UCITS, etc.).
- Draft, review, and negotiate contracts, partnership agreements, management mandates, and other legal documents.
- Collaboration with the Product Management Team:
- Work closely with the Product Management team on the structuring, implementation, and management of investment products.
- Provide legal support for the development of new products and the update of existing ones.
- Fund Management:
- Oversee the creation, structuring, and legal management of investment funds (UCITS, AIF, SICAV, FIS, RAIF, etc.).
- Prepare and update legal documentation for funds (prospectus, articles of association, management regulations, etc.).
- Manage relationships with regulatory authorities (CSSF) and follow up on regulatory requests.
- Compliance and Regulatory Monitoring:
- Conduct legal and regulatory monitoring to anticipate legislative changes and their impact on the company's activities.
- Collaborate with the compliance team to ensure adherence to legal and regulatory obligations.
- Litigation Management:
- Handle potential disputes in collaboration with external law firms.
- Defend the company's interests in litigation or judicial proceedings.
- Training and Support:
- Train and raise awareness among internal teams about regulatory developments and best legal practices.
- Provide legal support to various departments within the company.
- Your Profile:
- Master's degree in Business Law, Corporate Law, or Financial Law.
- Specialization in investment fund law or financial law is an asset.
- 5 to 10 years of experience as a legal counsel in a Management Company, law firm, or financial institution in Luxembourg.
- Proved experience in managing investment funds (UCITS, AIF, etc.).
- Excellent knowledge of corporate law, investment fund law, and Luxembourg and European financial regulations (CSSF, AIFMD, UCITS, etc.).
- Proficiency in the processes of structuring and managing investment funds.
- Ability to draft and negotiate complex contracts in both French and English.
- Strong organizational skills and attention to detail.
- Excellent analytical and synthesis skills.
- Ability to work independently while effectively collaborating with multidisciplinary teams.
- Excellent written and verbal communication skills.
- Discretion and respect for confidentiality (knowledge of German or Luxembourgish is an asset).
